PLEASE READ CAREFULLY

THESE TERMS OF SERVICE CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE DISPUTE RESOLUTION AND CLASS ACTION WAIVER SECTION BELOW.

1. INTRODUCTION AND ACCEPTANCE

Welcome to Dinks & Drinks Pickleball Club! These Terms of Service ("Terms") are a legal agreement between Dinks & Drinks LLC ("Company," "we," "us," or "our") and you ("you" or "your").

By using or accessing the Dinks & Drinks mobile application (the "App") or any related services, you agree that:

• You are 18 years of age or older

• You have read, understood, and accept to be bound by these Terms

• You comply with all applicable laws and regulations

We reserve the right to change these Terms at any time. We will notify you of changes through the App, by email, or other means. Your continued use of the App after changes take effect means you accept the new Terms.

2. DESCRIPTION OF SERVICE

The Dinks & Drinks App provides pickleball club members with:

• Event management and RSVP functionality

• Messaging and communication tools

• Lesson request and scheduling

• League and tournament management

• Member directory and profiles

• Photo album sharing

• Dating/social matching features for club events

• Store and merchandise access

• Leaderboards and statistics

3. USER ACCOUNTS

Account Creation

To use the App, you must create an account by providing:

• Full name

• Valid email address

• Password

• Profile information (photo, skill level, etc.)

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized access

We are not liable for any loss or damage from unauthorized use of your account.

Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms

• Fraudulent or illegal activity

• Harassment or abusive behavior

• Inactivity or non-payment of dues

4. MEMBERSHIP AND FEES

Club Membership

Access to certain features may require active club membership and payment of membership dues as determined by club leadership.

Payment Terms

• All fees are in U.S. dollars

• Membership dues may be charged on a recurring basis

• Event fees, lesson fees, and store purchases are separate from membership dues

• Payment processing is handled through third-party providers

• Refund policies are determined by club leadership for specific events or services

Payment Processing

We use third-party payment processors. By making payments through the App, you authorize us and our payment processors to charge your designated payment method.

5. USER CONTENT AND CONDUCT

Your Content

You retain ownership of content you post (photos, messages, comments, etc.), but grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the App.

You represent that:

• Your content is original or you have the right to share it

• Your content does not violate any third-party rights

• Your content complies with these Terms

Prohibited Conduct

You agree NOT to:

• Harass, threaten, or abuse other members

• Post offensive, discriminatory, or inappropriate content

• Share false or misleading information

• Spam or send unsolicited messages

• Use the App for any illegal purpose

• Attempt to hack or compromise the App's security

• Impersonate others or create fake accounts

• Share others' personal information without consent

• Use automated systems to access the App

Content Moderation

We reserve the right to remove any content that violates these Terms without notice. We are not responsible for user-generated content.

6. DATING FEATURE

Participation

The dating/social matching feature is optional and designed to help members meet through pickleball events.

Safety and Conduct

• All interactions must be respectful and consensual

• Users can opt out at any time

• Report any inappropriate behavior immediately

• We are not responsible for offline interactions between members

• Users are solely responsible for their safety during in-person meetings

No Guarantees

We make no guarantees about matches, compatibility, or outcomes from the dating feature.

7. EVENTS AND ACTIVITIES

Event Participation

• RSVPs are binding commitments when specified

• Cancellation policies apply as stated for each event

• The club reserves the right to cancel events due to weather, low attendance, or other factors

• Participants engage in activities at their own risk

Liability Waiver

By participating in club events, you acknowledge that:

• Pickleball involves physical activity and risk of injury

• You participate voluntarily and at your own risk

• You are physically capable of participating

• You have appropriate insurance coverage

YOU WAIVE ANY CLAIMS AGAINST DINKS & DRINKS LLC, ITS OFFICERS, MEMBERS, AND VOLUNTEERS FOR INJURIES OR DAMAGES ARISING FROM PARTICIPATION IN CLUB ACTIVITIES.

8. INTELLECTUAL PROPERTY

Our Property

All App content, including logos, designs, text, graphics, and software, is owned by Dinks & Drinks LLC or licensed to us. You may not copy, modify, distribute, or create derivative works without our written permission.

Trademarks

"Dinks & Drinks," "Dinks & Drinks Pickleball Club," and associated logos are trademarks of Dinks & Drinks LLC.

9. PRIVACY

Your privacy is important to us. Please review our Privacy Policy at dinksanddrinksclub/privacy to understand how we collect, use, and protect your information.

10. DISCLAIMERS

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose

• Non-infringement

• Accuracy or reliability of content

• Uninterrupted or error-free operation

We do not guarantee the accuracy of member-provided information, event details, or third-party content.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR:

• Indirect, incidental, special, or consequential damages

• Lost profits, data, or opportunities

• Personal injury or property damage from App use

• Actions or conduct of other members

• Third-party content or services

• Events or activities organized through the App

OUR TOTAL LIABILITY to you for any claims arising from the App shall not exceed the greater of (a) fees you paid to us in the prior three months, or (b) $100.

12. INDEMNIFICATION

You agree to indemnify and hold harmless Dinks & Drinks LLC, its officers, directors, members, employees, and volunteers from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any third-party rights

• Your content or conduct

• Your participation in club events

13. DISPUTE RESOLUTION

Informal Resolution

Before filing a legal claim, you agree to contact us at support@dinksanddrinksclub.com to attempt to resolve the dispute informally.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Los Angeles, California.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

Exceptions

The following are not subject to arbitration:

• Intellectual property disputes

• Small claims court matters under $10,000

14. CLASS ACTION WAIVER

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY, NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator cannot combine multiple people's claims into one case and cannot preside over any class or representative proceeding.

15. GENERAL PROVISIONS

Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.

Severability

If any provision is found invalid, the remaining provisions remain in effect.

Entire Agreement

These Terms constitute the entire agreement between you and us regarding the App.

Assignment

You may not assign these Terms without our consent. We may assign our rights at any time.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
